1. Acceptance of Terms
By accessing and using the services provided by Source-Node ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not use our services.
2. Description of Services
Source-Node provides software engineering, web development, mobile application development, cloud infrastructure, and custom software solutions as outlined in individual Statements of Work (SOW) or project proposals.
3. Client Responsibilities
Clients are responsible for providing clear requirements, timely feedback, and access to necessary resources (e.g., APIs, servers, documentation) required for the successful completion of the project. Delays in client feedback may result in timeline adjustments.
4. Intellectual Property
Upon full payment of all outstanding invoices, all rights, title, and interest in the custom deliverables created specifically for the client will be transferred to the client. Source-Node retains the rights to pre-existing libraries, tools, and methodologies used during development.
5. Payment Terms
Invoices are typically issued based on project milestones as defined in the SOW. Payment is due within 14 days of the invoice date unless otherwise specified. We reserve the right to suspend services for overdue accounts.
6. Warranties and Disclaimers
We warrant that our services will be performed in a professional and workmanlike manner. However, software is inherently complex; therefore, we do not guarantee that deliverables will be entirely error-free or uninterrupted. Post-launch bug fixes are handled according to the maintenance agreement in your contract.
7. Limitation of Liability
In no event shall Source-Node be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services.
8. Termination
Either party may terminate a project with written notice if the other party breaches a material term of the agreement and fails to cure it within 30 days. Upon termination, the client is responsible for paying for all work completed up to the termination date.
